I can understand that May was "NEGOTIATING" in making the first offer of $40M. But when Pac agreed to testing, and all other demands and counter offered 50-50% (or 45-45% with 10% to the winner) May walked away.

This tells me that it was May who WALKED AWAY!

Now if we look back at the initial offer of May, it was obviously lopsided in May's favor. Seasoned NEGOTIATORS use this trick all the time. Offer a ridiculously lopsided offer that is expected to be declined so they can either make a STEAL if accepted or WALK AWAY proud if declined.

This tells me that May intentionally DUCKED Pac!
