He had shitload of $$$ and nothing to prove. At the same time the fight with Vitali showed he is not getting any younger (sure, he was out of shape... but also keeping in shape is something that gets more difficult with age). If anything, I would say he was just too lazy to take the risk.
He realized he couldn't half ass his way through training if he wanted to stay. Vitali gave him the fight of his life and was eager for a repeat performance. He couldn't count on getting the Big K cut again, and he was approaching that age when heavyweights should retire. Vitali makes fighting at 42 look easy, but Lewis didn't have his discipline or his unique position of being so much better than the competition that even advanced age couldn't stop him. So Lewis looked at it from a perspective of a lazy, wealthy, fat Rastafarian and went on to relax in the sun, a rest much deserved after soundly beating a prime Mike Tyson.

Holyfield had a career of wars and was 39 years old Grant Botha and tua were good wins they were not amazing , they have been beated by the usual gang at those times, Mercer won that fight in many peoples eyes but Lennox never gave rematches when he had the advantage, so his claims to beat all boxers kind of stunk when he was granted rematches but never gave them , like a 3rd holy fight, a rematch with mercer or vitali were all legit rematches. Lennox also NEVER fought a left handed guy in his entire professional career, he even dodged them at the journeyman level, and even surrendered his IBF title to avoid a world class southpaw. Lewis did fight one southpaw early on in his career, a guy called Greg Gorell, the fights on you tube.
