There's no way Canelo could have fulfilled that contract without taking a huge hit to his reputation. Even if PBC were willing to go through with it how could he explain a three fight streak consisting of Charlo, Charlo, and Spence? I'm all for easy paydays for established veterans in the game but that would have been epically atrocious.
Yes. Only believable thing to me. Only way Canelo can walk away is if they can't pay him. What other reason would there be. That he refuse to fight someone and PBC , who is already 45 million invested in him, just says you can leave if you don't want to fight so and so? Canelo wants 35 million in an escrow. PBC can't deliver. Canelo said I ain't fighting until that money is there. They agree to part way. PBC can't sue Canelo for breach and Canelo can't sue since service , boxing match , has not been rendered.
There are top fighters taking one year off coming back and fighting a nobody. There are top fighters taking more than one year off coming back and fighting a nobody. But Canelo who has already cemented his legacy, who has 21 champions under his belt, considerably more than anyone else today, is going to ruin their reputation by taking a soft year while earning 105 million?? If PBC put 35 million in an escrow for a Charlo fight in May, you better believe Canelo is legally obligated to make the fight with Charlo. This is if the rumor is true, that that was what was on the contract. Hell the first Charlo fight was atrocious. When it was announced the fight was slam as a crappy match up and the event itself put people to sleep. This is all on PBC throwing money at boxer and trying to hold every boxer from other promotor. At the same time pushing long term fighters they have desperately try to push.
PBC won't go through with a second Charlo fight. It will lose them way too much money. My guess is they will either say fight Benavidez or we can settle it in court. If there was a clause for a mutual agreement, Canelo might lose that battle in court. More likely, PBC will just pay him a certain amount of money to walk away.

The reports say they were prepared to make the Charlo fight for the full 35m only if he agreed to fight Benavidez in sept. Canelo refused. Either way it seems the contract allowed both sides to walk away if they could not reach an agreement. That does not mean there was a breach. The contract allowed it. The only person reporting contract breach and PBC could not afford the money is Rick glaser.

It's really not the major issue you are worried about, he wants the Canelo money like everyone else and isn't going to be stupid and turn it down or run away. Win or lose, it's by far his best payday and also now winnable than Bivol / Beterbiev winner. @IsaL made some fair points about PBC's poor business tactics trying to reduce Canelo's 2nd fight purse from what was originally agreed, and that that may have put Canelo off them, so I do agree that leaving PBC does not automatically equate to ducking ... But if Rafael is correct that he wants Berlanga and Mungiua this year (even with DAZN), he's made it clear that he prefers two easy opponents this year over a Benavidez fight (or actually a Crawford fight for that matter). I don't see how we as boxing fans can be approving of that, unless we say that Canelo has done his part and is now in end-of-career cash mode (which I suspect). My guess is that Canelo has got demotivated, has other interests (golf etc). He probably has what it takes to beat Benavidez but he really doesn't want to put all the effort required, also he feels there's much less for him to gain than for David. He already has all the money in the world and a great resume. Same reason why Tyson Fury has been fighting no hopers lately, so that he can avoid having to train hard (nearly backfired vs Ngannou of course). I've seen the same thing happen so many times. That's my take. If he fights Benavidez or any other serious challenger (I include Crawford, Morrell etc in this) this year I will happily come here and concede I was wrong, but if it is indeed Berlanga and Mungiua surely even you would agree that criticism is due?
