I think there is a better chance of Roy winning the fight than taking the fight.

He fought a very impressive fight against Ruiz to give him his due, but Roy was smart enough to realise that he wasn't really a heavyweight.
There is a reason he went back to 175 right after the Ruiz fight.

 

Lewis was the fight both parties were negotiating. Lewis however retired when the WBC ordered a rematch with Vitali Klitschko.
