Torres was a pound 4 pounder before suffering back-to-back loses to Brian Bowles and Joseph Benavidez. I give Charlie a decent shot at taking this one. Torres hasn't looked the same since the Bowles fight and I could see Valencia's speed posing him a problem. Definitely a fight to watch.
Sorry, but I think Torres has a pretty large advantage. The reach is going to be a huge problem, and Torres will be out to make a point.

Really hard to do, I'll take a stab though. Most obvious is the reach advantage, Torres is lanky and 6 inches taller. Stylistically it would be something like a puncher vs a tricky boxer. Valencia will need to dictate how the fight goes and play strictly to his strengths, or else Torres will be much more comfortable in more places.
