I think Tyson these days would most likely walk away from Holyfield after the first head butt and publicly ask for a replay in slow motion. Unlike Tyson Holyfield seems to have not particularly grown as a person and would probably have a melt down if that happened.
I am not sure he fears him. He probably is still a bit bitter though. Tyson is the star out of the two of them though, and is probably frustrated that it is Holyfield's team offering him a fee. He'd probably rather pay EH a little bit and take the lions share himself.

Right or wrong, Tyson felt he was provoked into the ear-biting because the referee allowed Holyfield to continuedly foul - situation out of his control because he felt the ref was favouring the opponent. He retaliated and that retaliation was a reflection of another loss of control, this time an emotional one. Turning down Holyfield shows who's in control now. He probably sees it as some form of karma...

Holyfield is likely to turn it into a real fight rather than an exhibition. The fight with Roy Jones was an exhibition. The fight with Holyfield would turn into a war.
