Taylor will fight him. He should box but he won't because it is not his nature, especially once he sees he can hit Gatti. Gatti could box some, too, and he never did because it was not his nature either.
Gatti's defense was his head. Literally. Watch his fights with Ruelas and Rodrigues. He hadn't defense at all. Prime Taylor that outboxed Chavez would stop Gatti in mid rds on cuts.

This fight depends on which Taylor shows up, if he boxes and keeps moving and uses his superior ring generialiship he wins a decision... However if Taylor chooses to go toe to toe, and turn the fight into a street brawl Gatti knocks him out, Gatti was physically the tougher , stronger man.. I wouldn't bet on it either way...
Taylor was simply a higher class of fighter. Taylor dominated McGirt, and came within 2 seconds of defeating an ATG in Chavez who was in his prime. Gatti had enough problems with the speed and activity of Ivan Robinson. Barring a miracle left hook, Gatti would lose comprehensively.

For one, his prime, when he showed his best boxing, was at 130 lbs. He was very big at 130-135. Hell, he unofficially weighed 160 on fight night after the weigh-in debacle for the Gamache fight, where he allegedly weighed in at 141. He did his best boxing in the first fight with Patterson. Still, he was given a tough fight by Patterson, a good but smaller fighter. In their rematch, he was very lucky that the ref called a borderline body punch by Patterson as being low. Gatti went life-and-death with Ruelas and Rodriguez. At 135, he had no size disadvantage when he lost three straight fights in 1998 against Manfredy and Robinson (2x). Gatti brawled with all of them and lost. Ivan Robinson had a similar Philly background as Taylor, and he was a good fighter, but not on Taylor's level. A big reason why people in the early and mid 2000s said Gatti, at 140 (where this fight would take place), suddenly had these significant improvements in his boxing skills was from the hyperbole from HBO. He simply went back to the way he boxed back in 95' when he first won a title against Patterson. He still took a horrendous beating in his loss to Ward (I had it 94-94) and was getting caught with good shots in the 3rd fight. His opponent selection and HBO's hype machine caused him to be overrated by some. Watch him then and then watch his fights with Patterson. He is noticeably faster of hand and foot, and simply a smoother boxer in his younger years at 130. Gatti could have easily been stopped/DQ'd in the 9th round of the first Ward fight if Frank Cappucino had seen Buddy McGirt get up on the ring apron to stop the fight.
