Diaz lacks the power Chavez had; Mayweather had a good, sharp offence and I think he would either win it on points or stop Diaz in the last few rounds.
Diaz has a good workrate and carries it throughout the fight, Roger had a habit of gassing out in the later rounds and always had stamina problems and a guy like Diaz making him fight at a high pace cant be good for him. I dont think he can stop Diaz actually he has power but i dont think he quite carries his power long enough for it to stop him. I see Maywetaher get a big early lead for the first 6 rounds then Diaz starts to come on as Mayweather slows down and tires and around the 11th Diaz stops Mayweather for a TKO win with Roger exhausted on the ropes.
