Lewis was busy ducking Byrd why would he want to take on Wlad? Vitali had to take Lewis to court to force the fight. Lewis was looking for easy profitable fights not for trouble.

Can you imagine how that fight would have went? Lewis by KO for sure. Vitali vs Lewis will always be a competitive fight because Vitali is a good all around boxer.
It doesn't matter now, Lennox defeated the tough Klit and that is like defeating both. Vitali had the iron chin and was winning the fight, but he got cut and lost. Wlad had no chin and it would have been like watching a more competitive Lewis vs Grant fight.
It would been a complete waste of time for everybody involved. A real difficult sell to be honest. Lewis was showing his age during the Klitschko fight, it took all the savvy that Lewis had to overcome what was quickly turning into an upset from an opponent who is now proven to be elite. Lewis got a forced a stoppage on cuts while trailing on the scorecards. It's a pity too; had the fight not been stopped Lewis may have very well pulled together a KO Stoppage. I say it's a pity because Vitaly has gained tremendous mileage from a loss to best fighter he's ever faced. He was still good enough to beat the Kirk Johnson's of the world without breaking a sweat but for the elite fighters of the division he knew deep down that his body was beginning to abandon him. Could he have beaten Vitaly in a December rematch? I think so; and I'm pretty sure Lewis felt it the same way but I don't think he had the fire in his belly to motivate himself to prepare for a grueling 8 week training camp against an opponent he already beat. Vitaly at that stage was a dangerous up and comer not a ATG Legacy enhancing fighter. Aside from money there nothing to motive him to put his all into a rematch. As for Lewis vs. Wlad it was actually a fight that was starting to make waves but the only reason it didn't come off is because Wlad lost to Corrie Sanders in March 2003. Before that, Lewis had the Tyson fight that wanted to be available for and the Rahman rematch that he needed to make. Wlad losing is what gave the edge to Vitaly getting the fight instead; the stars began to align.
